1. Our services
We provide digital marketing and creative services, including Google Ads, Meta Ads, TikTok Ads and YouTube Ads management, web development, logo design and graphic design. The specific scope, deliverables, timelines and fees for any project will be set out in a separate proposal, quote or agreement. If there is a conflict between these Terms and a signed agreement, the signed agreement will apply.
2. Use of the Website
You agree to use the Website only for lawful purposes. You must not:
- Use the Website in any way that breaches applicable laws or regulations;
- Attempt to gain unauthorized access to the Website, its servers or related systems;
- Introduce viruses, malware or other harmful material;
- Copy, scrape or reproduce Website content for commercial purposes without our written permission.
3. Quotes, fees and payment
Quotes are valid for the period stated on them. Unless agreed otherwise in writing, fees are payable as set out in your invoice or agreement. Advertising spend paid to platforms such as Google, Meta, TikTok or YouTube is separate from our management fees and is your responsibility, unless your agreement states otherwise.
4. Client responsibilities
You agree to provide accurate information, timely feedback, and any materials, access or approvals we reasonably need to deliver the services. You are responsible for ensuring that any content, products or claims you ask us to promote are lawful and that you have the rights to any materials you provide to us.
5. Third-party platforms
Our advertising services rely on third-party platforms that have their own terms, policies and review processes. These platforms may reject, limit or suspend ads or accounts at their discretion, change their features or pricing, or experience outages. We are not responsible for the actions, decisions or performance of these platforms.
6. No guarantee of results
We work to deliver effective campaigns and high-quality creative, but marketing results depend on many factors outside our control, including market conditions, competition, platform algorithms, budgets and your products or services. We do not guarantee any specific rankings, traffic, leads, sales, revenue or return on ad spend.
7. Intellectual property
All content on the Website, including text, graphics, logos and design, is owned by or licensed to Perfect Net Box and is protected by intellectual property laws. Ownership of deliverables created for clients (such as logos, designs and websites) transfers to the client once full payment has been received, unless your agreement states otherwise. We may display completed work in our portfolio unless you ask us not to in writing.
8. Revisions and cancellations
The number of revisions included in a design or development project will be set out in your proposal or agreement. Additional revisions or changes in scope may be charged separately. Cancellation terms, including any fees for work already completed, will be set out in your agreement.
9. Limitation of liability
To the fullest extent permitted by law, Perfect Net Box will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunity, arising from your use of the Website or our services. Our total liability for any claim relating to our services will not exceed the fees you paid to us for the specific service giving rise to the claim in the three (3) months before the claim arose.
10. Indemnity
You agree to indemnify and hold harmless Perfect Net Box and its members, employees and contractors from any claims, losses or expenses arising from your breach of these Terms, your content or materials, or the products and services you ask us to promote.
11. Links to other websites
The Website may contain links to third-party websites. We do not control and are not responsible for their content, policies or practices.
12. Governing law
These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict of law rules. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.
